These Terms of Service and any additional terms (collectively, these "Terms" or this "Agreement") made available to you through the use of our services, describe the terms and conditions on which Write With Me ("we" or "us" or "our") offers you (a "visitor" or a "user" or a "member") access to our services and website at https://writewithme.app and all sub-domains ("Services" or "Service" or "Write With Me" or this "Website" or this "System" or this "App"). By accessing or using Write With Me, you acknowledge that you have read and agree to be bound by and to comply with these Terms, which also incorporates our Privacy Policy. If you do not agree to these Terms, you may not access any part of Write With Me or create a user account on Write With Me.
We reserve the right to amend these Terms at any time in our sole discretion by posting the revised Terms on the Write With Me website. Your continued use of the Services after any such changes constitutes your acceptance of the revised Terms.
All rights not expressly granted to you in these Terms are reserved and retained by us.
Use of our services is limited to parties that lawfully can enter into and form contracts under applicable law. We require that users be eighteen (18) years of age or older. Our services are not open to use by minors.
"Post" or "Posts" (refered to as "Posts" in the App) are original prose or poetry writings of which you are the sole or partial author, and that you have submitted to Write With Me. By submitting a Post, you grant Write With Me and its affiliates the worldwide, non-exclusive, fully paid-up, royalty-free, perpetual, transferable license, with the right to grant and authorize sublicenses, to use, reproduce, distribute, modify, adapt, prepare derivative works of, display and publicly perform the Post in connection with the Services or by Writh With Me for any purpose, including without limitation for promoting and redistributing part or all of the Services (and derivative works thereof) in any media formats and through any media channels now known or hereafter discovered. You grant Write With Me and its affiliates the right to use the username that you submit in connection with such Posts. You also hereby grant to each user of the Services a non-exclusive license to access, interact with and display such Posts as permitted by the functionality of the Services and these Terms.
To immediately revoke these rights from us and users of the Services for a specific Post you have posted to this App, you must delete that specific Post from this App (if you are the sole author) or get approval from your co-author(s) to delete the Post. You acknowledge and agree that we may at any time and without notice delete Posts from the App for any reason including but not limited to, upholding the conditions of these Terms, complying with laws and regulations. Except as specifically described above, users retain all rights to the Posts they submit to Write With Me.
Other than Posts, the Services may now or in the future permit the submission and posting or linking of media, text, audio and video recordings, photos, files, messages, survey responses, commentary or any other content submitted by you and other users ("User Content"). By submitting such User Content through the Services, you hereby grant Write With Me and its affiliates a worldwide, non-exclusive, fully paid-up, royalty-free, perpetual, irrevocable, transferable license, with the right to grant and authorize sublicenses, to use, reproduce, distribute, modify, adapt, prepare derivative works of and display the User Content in connection with the Services or by Write With Me for any purpose. By submitting such User Content, or engaging in any form of communication on our System except the submitting of Posts, you are hereby disclaiming or waiving all attributions and copyright ownership rights in such User Content even if they contain copyright notices. You also hereby grant to each user of the Services a non-exclusive license to access your User Content through the Services, and to use such User Content as permitted by the functionality of the Services and these Terms.
You are solely responsible for your own Posts, User Content and the consequences of posting or publishing them. You agree not to post content that is illegal, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights (including publicity rights), or otherwise injurious to third parties or objectionable, and does not consist of or contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings, or any form of spam or unsolicited commercial electronic messages.
Except for your original Posts, the Services and all materials therein or transferred thereby, including without limitation, software, images, text, graphics, illustrations, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos and music (collectively, "Platform Content") are the exclusive property of Write With Me.
You may not sell, license, rent, copy, modify, adapt, reproduce, translate, distribute, create derivative works of, reverse engineer, decompile or disassemble any aspect of the System and Platform Content which we own. You may not frame or utilize framing techniques to enclose any Platform Content or any aspect of the Services without our express written consent.
You may access copyrighted material available on the Services for your personal use only. Except as otherwise expressly permitted under copyright law, no copying, downloading, redistribution, retransmission, publication or commercial exploitation of any Platform Content, or any Posts that you do not own, is permitted without the express permission of Write With Me and/or the copyright owner.
You will not use the Services for any purpose that is unlawful or prohibited by these Terms or is otherwise prohibited under applicable law. You agree that you will not use any bot, crawler, harvester, indexer, robot, spider, scraper or any other automated means to access, compile, read or gather content from the Services automatically. You may not use the Services in any manner that could damage, disable, overburden, or impair the Services or interfere with any other party's use and enjoyment of the Services. You may not attempt to gain unauthorized access to any Services.
Subject to your compliance with this Agreement and your payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and make personal and non-commercial use of the Services. Some of the Services may require or allow you to create/receive a password and account designation. You are responsible for maintaining the confidentiality of any such password, account, and information displayed in the account profile. You are fully responsible for all activities that occur under your password or account.
If you believe that any Posts hosted at Write With Me infringes a copyright, please send a notice of copyright infringement containing the following information:
Identification of the material that you claim has been infringed upon.
Identification of the material that is claimed to be infringing and where it is located on the Service.
Contact information for the notifying party, including name, address, telephone number, and email address.
A statement that the notifying party has a good-faith belief that the material is not authorized by the copyright owner or law.
A statement made under penalty of perjury that the information provided in the notice is accurate, and that the notifying party is authorized to make the complaint on behalf of the copyright owner.
The notifying party's physical or electronic signature.
After we receive and review a valid claim, we will, at our discretion, either disable access to the allegedly infringing material, or notify the allegedly infringing party immediately, who may then file a counterclaim at their discretion.

We welcome your feedback and suggestions on ways to improve Write With Me. We ask that you never submit feedback or suggestions that you consider to be confidential and/or proprietary.
If you choose to submit feedback, suggestions, or ideas about updating or changing Write With Me, all comments, suggestions, ideas, notes, drawings, concepts, or other information disclosed or offered to us by you shall be deemed to be non-confidential and non-proprietary and shall become the exclusive property of Write With Me. Further, you understand and acknowledge that we employ both internal and external resources which may have developed or may in the future develop ideas identical or similar to your suggestions. In any event, you acknowledge and agree that Write With Me assumes no obligation of confidentiality or nondisclosure, express or implied by considering your feedback or suggestions.
Without limitation, Write With Me shall exclusively own all now known or hereafter existing rights in and to your feedback and suggestions, and Write With Me shall be entitled to unrestricted use of your feedback and suggestions for any purpose whatsoever, commercial or otherwise without any form of compensation.
THE SYSTEM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS AND WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, AS TO THE MERCHANTABILITY, FITNESS FOR A PARTICULAR USE OR PURPOSE, TITLE, NON-INFRINGEMENT OR ANY OTHER WARRANTY, CONDITION, GUARANTY, OR REPRESENTATION, WHETHER ORAL, IN WRITING OR IN ELECTRONIC FORM, INCLUDING BUT NOT LIMITED TO THE ACCURACY OR COMPLETENESS OF ANY INFORMATION CONTAINED THEREIN OR PROVIDED BY THE SERVICE.
ACCORDINGLY, YOUR USE OF THE SYSTEM IS ENTIRELY AT YOUR OWN SOLE RISK. WE WILL NOT BE RESPONSIBLE TO YOU OR ANY THIRD PARTIES FOR ANY DIRECT OR INDIRECT, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES OR LOSSES YOU MAY INCUR IN CONNECTION WITH OUR SYSTEM, YOUR USE THEREOF OR ANY OF THE DATA OR OTHER MATERIALS TRANSMITTED THROUGH OR RESIDING ON OUR SYSTEM, REGARDLESS OF THE TYPE OF CLAIM OR THE NATURE OF THE CAUSE OF ACTION, EVEN IF WE HAVE ADVISED OF THE POSSIBILITY OF SUCH DAMAGE OR LOSS.
Write With Me is not responsible for material submitted or posted to the Write With Me app by users or other third parties, and we expressly disclaim any and all liability in connection with submitted material or any other content or information posted to Write With Me by users or third parties. We disclaim any and all liability of any kind for any unauthorized access to or use of your personally identifiable information.
You agree to indemnify and hold Write With Me, its parents, subsidiaries, officers and employees, harmless from and against any and all claims, proceedings, damages, injuries, liabilities, losses, costs and expenses, including attorneys' fees, relating to any acts by you or materials or information transmitted by you in connection with our System, leading wholly or partially to claims against us or our System by other users or third parties, regardless of the type of claim or the nature of the cause of action.
The invalidity or unenforceability of any provisions of these Terms shall not affect the validity or enforceability of any other provision of these Terms, which shall remain in full force and effect. Write With Me's failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
